Terms of Use

This is an English translation of the original Japanese document, provided for convenience. If there is any discrepancy between the two, the Japanese version prevails.

These Terms of Use (these “Terms”) set forth the conditions for the use of the sleep app “Sleepa” (the “App”) provided by Medisense Inc. (the “Company”) and of the Company’s website (https://medisense-inc.co.jp/; the “Website”; the App and the Website are collectively referred to as the “Services”). Persons who use the Services (“Users”) shall use the Services after agreeing to these Terms.

Article 1 (Application)

  1. These Terms apply to all relationships between Users and the Company relating to the use of the Services.
  2. Explanations and rules regarding use that the Company posts on the Services (including the Privacy Policy) constitute part of these Terms.
  3. Persons who do not agree to these Terms may not use the Services. A person who downloads or uses the App will be deemed to have agreed to these Terms.

Article 2 (Content of the App)

  1. The App reads sleep and other data measured by Apple Watch and stored in Apple’s Health app, and presents sleep trends by means of graphs, scores, explanations by AI, and the like.
  2. Use of the App requires a compatible iPhone and Apple Watch. Explanations by AI and answers to questions are available on iPhones that support Apple Intelligence. On other iPhones, the results are displayed as ordinary text.

Article 3 (Medical Notice)

  1. The App is not a medical device and is not intended for the diagnosis, treatment or prevention of any disease.
  2. The App’s analysis results, scores, and explanations and answers by AI are reference information to help Users understand their own sleep trends, and are not a substitute for diagnosis by a physician.
  3. The App’s results are affected by the measurement accuracy of devices such as Apple Watch, the condition in which the device is worn, and other factors.
  4. Users who have concerns about their physical condition or who have symptoms that concern them should consult a medical institution, regardless of the App’s results. In an emergency, Users should immediately visit a medical institution or contact emergency services.
  5. Users should not make decisions such as stopping or changing medication based solely on the App’s results.

Article 4 (Account)

  1. The App can be used without creating an account. Creating an account is required to purchase a paid plan.
  2. Users shall create an account with accurate information and shall manage their email address and password at their own responsibility. Users must not allow any third party to use their account or transfer their account to any third party.
  3. Users may delete their account at any time from the “Profile” screen of the App. The handling of information when an account is deleted shall be as set forth in the Privacy Policy.
  4. Deleting an account does not stop charges for a paid plan. Please cancel a paid plan in accordance with Article 5.

Article 5 (Free Period and Paid Plans)

  1. All features of the App can be used free of charge for 7 days from the day on which the App is first launched (the “Free Period”). Users will not be charged automatically when the Free Period ends. To continue using the App after the Free Period, please purchase one of the following paid plans.
    • Sleepa Premium: A subscription plan that renews automatically every month.
    • Sleepa Limited: A plan that can be used for 3 months from the date of purchase. It does not renew automatically.
  2. The fees for paid plans are displayed on the App’s purchase screen and on the App Store. Payment is made through the App Store by the methods specified by Apple.
  3. Unless automatic renewal is turned off at least 24 hours before the end of the current period, Sleepa Premium will renew automatically and the renewal fee will be charged. Automatic renewal can be turned off (cancelled) in the iPhone’s “Settings” app by tapping the User’s own name and then “Subscriptions,” or from “Manage Subscriptions” on the App’s purchase screen.
  4. Even if a User cancels during a period, the User may continue to use the paid plan until the end of that period. No prorated refunds will be made.
  5. Refunds for purchased paid plans are subject to Apple’s policies. Please request a refund through Apple’s “Report a Problem.”
  6. The Company may change the fees or content of paid plans. When changing the fees, the Company will give advance notice in accordance with the procedures specified by Apple.

Article 6 (Handling of Data)

  1. The handling of Users’ information shall be as set forth in the Privacy Policy.
  2. Data that the App stores on the device may be lost due to deletion of the App, failure or loss of the device, or other causes, and the Company cannot restore such data.

Article 7 (Prohibited Acts)

In using the Services, Users must not engage in any of the following acts.

  • Acts that violate laws and regulations or public order and morals
  • Acts related to criminal acts
  • Acts that interfere with the operation of the Services, or acts that place an excessive load on the servers or networks of the Services
  • Decompiling, disassembling, reverse engineering or modifying the App (except where permitted by laws and regulations)
  • Unauthorized access, or use of another person’s account
  • Acts that infringe the intellectual property rights, privacy or other rights of the Company or any third party
  • Using the features of a paid plan without a legitimate purchase
  • Any other acts similar to those listed in the preceding items

Article 8 (Intellectual Property Rights)

Copyrights and other intellectual property rights relating to the Services belong to the Company or the legitimate right holders. The Company grants Users a non-exclusive, non-transferable and non-sublicensable right to use the App for personal purposes in accordance with these Terms.

Article 9 (Changes, Suspension and Termination of the Services)

  1. The Company may change the content of the Services or terminate their provision. The Company will give advance notice of any significant change or of the termination of provision on the Website or in the App.
  2. The Company may temporarily suspend all or part of the Services without prior notice in the following cases.
    • When performing maintenance, inspection or updates of the system
    • When provision becomes difficult due to force majeure such as earthquakes, fires, power outages or natural disasters
    • When a failure of equipment or communication lines occurs
    • Other cases where suspension is unavoidable for operational reasons
  3. Refunds in the event that the Company terminates the provision of the Services during the term of a paid plan are subject to Apple’s policies.

Article 10 (Restriction of Use)

If a User violates these Terms, the Company may, without prior notice, restrict the User’s use of the Services or delete the User’s account.

Article 11 (Disclaimer of Warranties and Limitation of Liability)

  1. The Company does not warrant that the Services are fit for any particular purpose of Users, that the analysis results are accurate, or that the Services are free of defects.
  2. The Company shall not be liable for any damage incurred by Users in connection with the Services, except where the Company acted with intent or gross negligence. However, if the contract between a User and the Company constitutes a consumer contract as defined in the Consumer Contract Act, this paragraph shall not apply, and the following paragraph shall apply instead.
  3. In the case of a consumer contract, compensation for damage incurred by a User due to the Company’s negligence (excluding gross negligence) shall be limited to direct damage that would ordinarily arise, and the amount thereof shall not exceed the total amount paid by the User for the Company’s paid plans during the 12 months counting back from the month in which the damage occurred.

Article 12 (Age)

The App is intended for persons aged 16 or older. Minors should use the App after obtaining the consent of a parent or guardian.

Article 13 (Changes to These Terms)

  1. The Company may change these Terms without obtaining the individual consent of Users in either of the following cases.
    • When the change conforms to the general interests of Users
    • When the change does not contravene the purpose of these Terms and is reasonable in light of the necessity of the change, the appropriateness of the content after the change, and other circumstances relating to the change
  2. When changing these Terms, the Company will make known the content of the amended Terms and their effective date on the Website or in the App before the effective date.

Article 14 (Notices and Communications)

Notices from the Company to Users shall be given by posting on the Website or in the App, or by any other method that the Company deems appropriate. Users should contact the Company through the contact form.

Article 15 (If the App Is Obtained from the App Store)

If a User obtains the App from the App Store, the following provisions apply.

  1. These Terms are concluded between the User and the Company, and not with Apple Inc. (“Apple”). The Company, not Apple, is responsible for the App and its content.
  2. The license to use the App is limited to a non-transferable right to use the App on Apple-branded products that the User owns or controls, in accordance with the Usage Rules set forth in the App Store terms of service.
  3. Apple has no obligation to provide maintenance and support for the App.
  4. If the App fails to conform to any applicable warranty, the User may notify Apple, and Apple will refund the purchase price of the App (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  5. The Company, not Apple, is responsible for addressing any claims by the User or any third party relating to the App (including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims arising under consumer protection laws).
  6. In the event of any claim that the App or the User’s possession and use of the App infringes a third party’s intellectual property rights, the Company, not Apple, is responsible for the investigation, defense, settlement and discharge of such claim.
  7. The User represents and warrants that the User is not located in a country that is subject to a U.S. Government embargo and is not listed on any U.S. Government list of prohibited parties.
  8. Please direct any questions or complaints regarding the App to the contact point set forth in Article 14 (Medisense Inc., Ikeda City, Osaka Prefecture, Japan).
  9. In using the App, the User shall also comply with the terms of third-party services, such as the services of telecommunications carriers.
  10. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and once the User agrees to these Terms, Apple and Apple’s subsidiaries, as third-party beneficiaries, have the right to enforce these Terms against the User.

Article 16 (Governing Law and Jurisdiction)

  1. These Terms shall be construed in accordance with the laws of Japan.
